Mamma.com Inc. Plans to Acquire Copernic Technologies Inc.

Mamma.com Inc., and Copernic Technologies Inc. is pleased to announce that the Company has signed a letter of intent ("LOI") whereby Mamma.com would acquire all of the shares of Copernic Technologies for a combination of cash and shares of Mamma.com Inc. The closing of the acquisition will be effected by the parties pursuant to a definitive purchase agreement, when and if negotiated and entered into by Mamma.com and Copernic. The specific terms and conditions of the LOI, including the proposed purchase price are not being disclosed at this time due to the confidentiality restrictions in the LOI and the ongoing due diligence, which could alter such terms and conditions. The parties expect to close this transaction in the first quarter of 2005. Read the entire news article.

Interchange Expands Technology Infrastructure

Laguna Hills, CA — December 2, 2004 — Interchange Corporation (NASDAQ: INCX), a provider of local and national paid-search services, today announced that it has expanded its technology infrastructure through capacity enhancement in its Los Angeles, California data center operations, and through the addition of a new data center in Chicago, Illinois. The expansion supports the company in its continuing efforts to meet the growing demands of the paid-search marketplace. Read the entire press release here.

Marchex Announces Asset Acquisition

SEATTLE, WA - November 23, 2004 - Marchex, Inc. (NASDAQ: MCHX), a provider of technology-based merchant services that facilitate and drive growth in online transactions, today announced that it has signed a definitive agreement to acquire certain assets of Name Development Ltd., a corporation operating in the direct navigation market, for $164.2 million, including $155.2 million in cash and $9 million in stock (valued based on the 10-day trailing average measured from closing date). The transaction is expected to close during the first quarter of 2005. Details of a planned financing event to provide the cash consideration for the transaction will be announced separately within the next 30 days. Read the entire press release here.

PPC Search Engine Review of the Month

Despite my promise last month to provide a review of Momma.com here this month, I got sidetracked and had to do the Mamma review earlier. Look for it here.

This month's highlighted search engine is Mirago.com. The U.K.-based Mirago PPC search engine primarily is aimed at the European-end market, but also competes with some North American search engines. Its regionalized marketplace product, called Mirago Media Manager (M3) system, was launched in 2001 and within a year had more than 1,000 advertisers.

A couple of years later, it primary enterprise goals have shifted slightly – to be not only the biggest and the most comprehensive index in the European countries it served, but also have a much larger stake in the international search markets. Read more ...

PPC Management and Monitoring Tool Review of the Month

BidRank - BidRank is a pay-per-click management tool that has been available for a number of years, manufactured by Roffers Engineering, Inc., in Wisconsin. Unlike many other bid management tools, BidRank is a stand-alone piece of software, so the user does not pay a monthly fee, but does pay for upgrades to the software.

Hint Of The Month

As blogs are becoming more and more popular with business websites, be sure to do your homework before relying on everything you read in a company blog. Company blogs can be the quickest way to put a fire out as far as bad news for a company may be considered, but it can also be the quickest way to a loss of credibility if you are not completely honest with your readers. Don't say anything in your blog that you can't back up, if you are talking about a change in a product in your company (or even more dangerous - a change to someone else's company). Remember that the Internet is forever - your blog may soon be off the current screen, but you can bet your bottom dollar that someone will have it saved as a favorite or will be circulating it in paper form somewhere somehow, especially if it says something controversial. In short, take a hint and use your brain before you hit "submit".
